Terms of Service

These terms govern use of Steve Memo, including the web app, REST API, and MCP interfaces. By creating an account, joining a workspace, or calling the API, you agree to them. If you use Steve Memo for an organization, you confirm that you may bind that organization.

The service

Steve Memo is a family memory workspace operated by Zenthor. It lets authorized users and agents store, search, organize, import, export, and delete memories. We may improve, change, suspend, or discontinue features, subject to the notice and mandatory rights described below.

Accounts and workspaces

You must be at least 18 and old enough to form a binding contract where you live. You are responsible for your account, the people you invite, the roles you assign, and the organization API keys you create or allow others to use. Tell us promptly if you believe an account or key has been compromised.

Your content

You retain ownership of memories, media, and other content you submit. You grant Zenthor a worldwide, non-exclusive license to host, copy, process, embed, extract, transmit, display, and delete that content only as needed to operate, secure, and improve Steve Memo, including through processors and integrations you configure. This license ends when the content is deleted, subject to temporary backups, legal obligations, and copies already delivered outside Steve Memo.

You must have the rights and permissions needed to submit content, including personal information about family members or others. Do not store passwords, authentication secrets, payment-card details, or government identification numbers.

Service ownership and license

Zenthor and its licensors own Steve Memo, including its software, design, branding, and documentation. Subject to these terms, Zenthor grants you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended purpose. This does not transfer ownership of Steve Memo or restrict your ownership of your content.

Agents and API keys

API keys let third-party agents act within their assigned scope. You are responsible for choosing those agents, reviewing their access, keeping secrets safe, and revoking keys you no longer trust. An agent's provider may apply its own terms to information it receives.

Acceptable use

You may not:

  • Break the law or store content you do not have the right to store.
  • Access another person's private memories or another organization's workspace.
  • Interfere with, probe without permission, or overload the service.
  • Upload malware or illegal content, or use the service to harm others.
  • Resell or publicly host Steve Memo as your own product without permission.

Third-party services

Steve Memo depends on Clerk, Convex, OpenRouter, and Vercel. Depending on the AI feature, OpenRouter and routed model providers may receive source or memory text, search queries, selected memory excerpts and metadata, custom instructions, and uploaded images. Their logging, retention, and training practices vary by provider and model. Configured webhooks and agents receive information allowed by their access. Third-party terms apply to their services.

Privacy

The Privacy Policy explains how information is handled. Closing a Clerk account or leaving a workspace does not itself delete stored memories. Hard purge, when enabled, removes selected memories from active Steve Memo records and files. It cannot recall copies delivered to a webhook, agent, or model provider.

Business-user indemnity

If you use Steve Memo for a business or organization, that organization will defend and indemnify Zenthor against third-party claims resulting from its unlawful content, its material breach of these terms, or its infringement of another person's rights. Zenthor will give prompt notice and reasonable cooperation, and will not settle a claim in a way that admits fault or imposes a non-monetary obligation on the organization without its consent. This section does not apply to consumers acting for personal purposes.

No warranty

Steve Memo is provided as is and as available. To the fullest extent allowed by law, Zenthor disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that memories will be complete, correctly extracted, continuously available, or free from loss. This disclaimer does not exclude warranties or remedies that applicable law does not allow us to exclude.

Limitation of liability

To the fullest extent allowed by law, Zenthor is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or substitute services. Zenthor's total liability relating to Steve Memo will not exceed the greater of the amount paid for the service in the 12 months before the event giving rise to the claim or €100.

These limits do not apply to fraud, intentional misconduct, death or personal injury caused by negligence, liability that cannot lawfully be limited, or mandatory consumer rights. Nothing in these terms limits remedies that applicable law guarantees you.

Suspension and termination

You may stop using Steve Memo at any time. We may suspend or end access immediately for a material breach, security risk, unlawful use, or legal requirement. For other suspension, discontinuation, or termination, we will give reasonable notice when practicable and a reasonable opportunity to export accessible memories. We may then delete remaining copies we control, subject to the Privacy Policy and legal retention duties.

Terms that by their nature should survive termination remain in effect, including ownership, accrued payment duties, business-user indemnity, disclaimers, and liability limits.

Changes

We will post updated terms and change the effective date. For a material change, we will give at least 30 days' advance notice by email or in the product when practicable. A change may take effect sooner when required for law, security, or to prevent abuse. If you do not agree to an update, you may stop using Steve Memo before it takes effect.

General

These terms and the Privacy Policy are the entire agreement about Steve Memo and replace earlier agreements on that subject. If a provision is unenforceable, the remaining terms remain effective. A failure to enforce a provision is not a waiver. You may not transfer these terms without Zenthor's consent; Zenthor may transfer them as part of a merger, reorganization, financing, or sale of the service. Mandatory consumer laws and access to courts available under those laws are not affected.
